Additional Terms & Information
- WATER ACTIVITIES DNA will supply services and limited Equipment (as defined herein) for the Customer’s participation in the Water Activities on the terms and conditions set out in this Agreement. The term “Water Activities” as used in this Agreement means: any and all activities, events and services provided, arranged, organized, conducted, sponsored and/or authorized by DNA and includes, but is not limited to, traveling by boat, orientation and instructional courses and sessions [ water skiing, wake boarding, and other water sports…. ] and any other such activities, events and services in any way connected with or related to the services being provided by DNA to the Customer. - BOOKING Bookings for Water Activities (the “Water Activities Appointment”) can be made through DNA’s online booking system, or in person with a DNA employee at which time the Customer will specify the number of hours and any specific requests relating to the Water Activities. Booking times are subject to DNA availability. The Customer will also have the opportunity at the time of booking to specify the particular type of Water Activities required in order to ensure DNA arrives for the Water Activities Appointment with the necessary equipment to complete the Water Activities. Such specification should not be taken as any form of representation by DNA that the particular Water Activities can or will be possible at the time allotted to the Water Activities Appointment. Should the Customer choose not to specify any particular Water Activities at the time of booking, he will bear the risk that: a) DNA employees may need to return to the equipment garage in order to obtain the necessary Equipment, which time to do so will be considered to be part of the Water Activities Appointment; and b) if the necessary Equipment is unavailable at that time, the Water Activities Appointment will still proceed as booked. - HOURS The Water Activities Appointments will be for a minimum of 4 hours to a maximum of 8 hours. A Customer may only book one Water Activities Appointment for any given day in order to minimize the impact of cancellations on DNA employees. The number of hours required will be specified at the time of booking. - RATES The Water Activities will be charged to the Customer at a rate of $_____________ per hour. - PAYMENT Payment for the Water Activities will be processed on the Customer’s credit card, as provided, promptly at the time of booking and based upon the number of hours and DNA employees booked. - INTEREST Should payment for the Water Activities be delayed in any way beyond the timelines set forth herein, including but not limited to delay due to credit card refusal or processing, interest will accrue at a rate of 2% per month (24% per annum) from the date payment is due until the date that full payment is received by DNA. - LOCATION & TIME The Water Activities will be provided at a location and time specified by DNA and the Customer at the time of booking (the “Property”). The Customer is responsible for prompt attendance at the specified location and time for the start of the Water Activities Appointment. Failure to arrive on time for the scheduled Water Activities Appointment my impact on DNA’s ability to provide the Water Activities and DNA reserves the right to cancel any Water Activities Appointments if the Customer is more than 30 minutes delayed in arrival. In such event, the Customer is still required to provide payment in full for the Water Activities Appointment and the Customer hereby authorizes DNA to apply such charges to the credit card provided at the time of booking. - LIMITED EQUIPMENT DNA will supply limited equipment (the “Equipment”) for participation in the Water Activities. Such Equipment will include: [Mastercraft boat, wakeboards, wakesurfs, Tubes, life jackets…]. If the Customer desires that DNA provide Water Activities requiring equipment beyond those outlined above, the Customer is responsible for supplying the necessary equipment and accepts all risk associated with the use of such equipment and any potential damage or injury to such equipment, property or person. DNA reserves the right to refuse to use such Customer equipment as, in the sole unfettered discretion of DNA or DNA employees, are deemed to pose a danger to person or property. - ALCOHOL The Customer will be solely responsible for compliance with the applicable laws relating to the consumption of alcohol by the Customer or any guests of the Customer while participating in the Water Activities and, in no event, will DNA be responsible for ensuring awareness or compliance with such laws. Furthermore, the Customer hereby agrees and acknowledges that the consumption of alcohol while participating in the Water Activities is at the sole risk of the Customer and DNA will bear no responsibility for supervision of intoxicated patrons nor judgment as to their ability to safely participate in the Water Activities. DNA reserves the right to refuse service to Customer and/or Customer’s guests if DNA or DNA employees feel that the Customer or Customer’s guest is intoxicated to an extent that a danger might exist to the Customer and/or the Customer’s guest(s), any other DNA customers or employees, Equipment, or to any other persons or property. DNA further reserves the right to require the Customer and/or the Customer’s guests to refrain from consuming alcohol or stop consuming alcohol in the sole and unfettered discretion of DNA or DNA employees. - PHOTOS/VIDEOS The Customer agrees and acknowledges that DNA may take photographs and/or videos of the Customer and/or Customer’s guests during their participation in the Water Activities (the “Images”). These Images and any intellectual property interest in the Images are the sole property of DNA and Customer hereby confirms its consent to DNA using the Images for the purposes of advertising, promotional, marketing materials or in such other manner as DNA deems advisable. - DAMAGED/ LOST/ STOLEN PROPERTY The Customer agrees and acknowledges that DNA bears no responsibility to supervise or store any property of the Customer or the Customer’s guests and any property brought by the Customer or the Customer’s guests to the Water Activities remain at the sole risk and responsibility of the Customer. At no time will DNA be considered a bailiff of the property of the Customer or the Customer’s guests. - DAMAGE DEPOSIT/SECURITY Customer acknowledges that, during the Water Activities, the Customer or the Customer’s guests may have access or use of certain Equipment of DNA. As such, Customer agrees to compensate DNA for any loss or damage of Equipment caused by Customer or Customer’s guests. The assessment of loss or damage, cost of repair or replacement of such loss or damaged Equipment, and allocation amongst Customers will be at the sole and unfettered discretion of DNA and/or DNA’s employees. As security against such loss or damage to Equipment, Customer consents to DNA retaining a copy of the Customer’s valid credit card as well as a copy of Customer’s photo identification for the sole purpose of charging any loss or damage costs to the Customer. DNA agrees to keep such personal information of the Customer secure and private and not to release to anyone other than DNA and for the purposes specifically outlined herein. - JOINT AND SEVERAL If the Customer is more than one person, then all covenants, agreements, liabilities and obligations entered into or imposed on the Customer hereunder will be deemed to be both joint and several. - ARBITRATION All disputes arising out of, or in connection with, this Agreement, or in respect of any legal relationship associated with it or derived from it, will be finally resolved by arbitration administered by the British Columbia International Commercial Arbitration Centre under its Domestic Commercial Arbitration Rules of Procedure. The seat of arbitration will be Kelowna, British Columbia, Canada. - INCLEMENT WEATHER In the event of inclement weather, DNA will have sole discretion in deciding whether the Water Activities Appointment will proceed as scheduled. DNA reserves the right to cancel or reschedule the Water Activities Appointment should the weather or other circumstances render the provision of the Water Activities dangerous or impossible, to be determined in the sole unfettered discretion of DNA or DNA’s employees. If a Water Activities Booking is canceled by DNA due to weather conditions, or otherwise, DNA will make all reasonable efforts to reschedule the Customer for a substitute date and time. In such circumstances, if rescheduling cannot be accommodated, DNA will refund the Water Activities booking fee in due course. - CANCELLED/MISSED APPOINTMENTS If Customer is unable to attend for the Water Activities Booking, for any reason whatsoever, DNA will make reasonable efforts to reschedule the Customer. However, DNA makes no guarantee that rescheduling will be possible and the parties acknowledge and agree that there will be no refund for missed or cancelled Water Activities Bookings regardless of the reason or amount of notice provided. - DNA’S RIGHT TO TERMINATE DNA reserves the right to terminate this Agreement at any time and in its sole and unfettered discretion, should DNA or DNA’s employees feel that person or property is in any way endangered by the Customer, the Customer’s guests, or the Water Activities requested. In such circumstances, there will be no refund. - WARRANTY The Contractor makes no guarantees or warranty with respect to the Water Activities provided. - INTERPRETATION Grammatical variations of any terms defined herein have similar meanings; words importing the singular number shall include the plural and vice versa; words importing the masculine gender shall include the feminine and neuter genders. The division of the Agreement into separate sections, subsections and clauses and the insertion of headings are for convenience of reference only and shall not affect the construction or interpretation of this Agreement. - TIME Time shall be of the essence of this Contract. - SUCCESSORS AND ASSIGNS This Agreement will enure to the benefit of and be binding upon the successors and permitted assigns of the parties hereto. - SEVERABILITY If any provision of this Agreement is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability will attach only to such provision or part thereof and the remaining part of such provision and all other provisions hereof will continue in full force and effect. - RIGHTS AND REMEDIES Except as expressly provided in this Agreement, the duties and obligations and the rights and remedies available shall be in addition to and not a limitation of any duties, obligations, rights, and remedies otherwise imposed or available by law. - WAIVER No consent or waiver, express or implied, by a party to or of any breach or default by another party in the performance of such other party of its obligations hereunder will be deemed or construed to be a consent or waiver to or of any other breach or default in the performance by such other party hereunder. Failure on the part of the party to complain of any act or failure to act of another party or to declare the other party in default, irrespective of how long such failure continues, will not constitute a waiver by such first mentioned party of its rights hereunder. - ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and cancels and supersedes any prior understandings and agreements between the parties. There are no representations, warranties, forms, conditions, undertakings or collateral agreements, express or implied, between the parties other than as expressly set forth in this Agreement. - ELECTRONIC SIGNATURE The parties agree that this Agreement may be executed in counterpart and electronically and that, by proceeding with booking of the Water Activities Appointment, the parties will be deemed to have agreed to all terms and conditions set out herein as of the date of booking and a binding legal Agreement will have been formed between the parties. This Agreement creates binding legal obligations on the parties and the Customer acknowledges having read the terms hereof.
