    In accordance with USCG regulations 46 USC 2101, 46 CFR 175.400, 46 CFR 24.10-1, this BAREBOAT CHARTER AGREEMENT, made as of:  by and between the owner of the Vessel Carupano Yacht Sales and Marine Services L.L.C. Flag: Queen of Carupano Motoryacht "hereinafter called "OWNER" and [GUESTFIRSTNAME] [GUESTLASTNAME] hereinafter called "CHARTERER." 1. OWNER hereby agrees to let and demise bareboat, and the CHARTERER agrees to hire on a bareboat basis upon the terms and conditions and for the consideration hereinafter set forth, the said vessel for a period 4 hours on [RARRIVALDATE] commencing at: 2pm and ending at: 6pm The vessel shall be delivered to CHARTERER at: 16385 Biscayne Blvd Aventura, Fl 33160 in Miami Dade County. 2. OWNER warrants that vessel, when delivered to CHARTERER, shall be in good seaworthy condition and shall comply with all applicable laws and regulations pertaining to the condition of the Vessel. CHARTERER agrees return port to be the same as departure and to return vessel in the same condition as when chartered. 3. CHARTERER shall maintain Vessel in good order and condition, reasonable wear and tear excepted. CHARTERER shall not be responsible for repairs to Vessel except to the extent that the need for such repairs arises from the negligence or willful misconduct of CHARTERER, its officers, agents, employees, students, invitees, or guests. OWNER agrees to furnish any necessary maintenance materials needed by CHARTERER in order for CHARTERER to fulfill its obligation to maintain Vessel in good order and condition. OWNER agrees to make any repairs needed to keep Vessel in good seaworthy condition and in compliance with all applicable laws and regulations to the extent the need for such repairs does not arise from the negligence or willful misconduct of CHARTERER, its officers, agents, employees, invitees or guests. Vessel shall be subject to inspection at any reasonable time by OWNER or its agent or employee provided OWNER has furnished reasonable advance written notice to CHARTERER of its intent to make such inspection. 4. CREW SELECTION: It is the CHARTERER's obligation to staff the charter vessel with competent master and crew. WHEREAS the CHARTERER desires to retain the CONTRACTOR to provision the crew and the yacht and the CONTRACTOR is willing and able to provide such services, subject to the terms and conditions herein. Each crewmember shall hold the required licenses and certificates and wear proper attire. CHARTERER will hire their own crew and will be responsible for any expense associated with additional supplemental crew selection. Any individual hired for such purposes shall perform his services under this agreement as an independent contractor and shall be solely responsible for all employer and withholding taxes on crew wages assessed by any authority. Master shall not carry out any directions by CHARTERER that jeopardizes the safety of the vessel, those onboard or the stipulations within said contract. CHARTERER warrants that the master hired by CHARTERER will be a qualified and competent person and be responsible for the safe navigation of the vessel. CHARTERER expressly agrees that the operation of said vessel will be limited to the following areas and waters: Biscayne Bay, Miami Local Inland, & Fort Lauderdale Inland. CHARTERER further agrees that the operation of said vessel be limited to any areas in waters specified in any insurance policy provided pursuant to paragraph 6. 6. CHARTERER shall indemnify, defend and hold harmless OWNER, its officers, agents and employees from and against any claims, damages, expenses or liabilities arising out of the performance of this Agreement or the use of said Vessel including without limitation, claims, damages, expenses or liabilities for loss or damage to any property, or from death or injury to any person or persons, in proportion to and to the extent such claims, damages, expenses or liabilities arise from the negligence or willful misconduct of CHARTERER, its officers, agents, or employees. OWNER warrants that the yacht is insured against fire, marine and collision risks, hazards to the voyage, including all engine, hull and yacht equipment for the term of the charter. The interests of the CHARTERER may not be covered under the liability portion of the Yacht's insurance policy. The CHARTERER should determine if such insurance is appropriate and applicable for the CHARTERER’s purposes, and if necessary, shall do their due diligence and arrange for supplemental insurance and additional cost to the CHARTERER. CHARTERER shall name OWNER as an additional insured party on such insurance. Cancellation insurance and curtailment insurance are not included in the terms of this contract. 7. CHARTERER agrees that the Vessel shall be employed exclusively as a training and pleasure vessel for the sole and proper use of itself, students, and guests, during the term of this Charter. CHARTERER further agrees not to transport MERCHANDISE FOR HIRE or CARRY PASSENGERS FOR HIRE, or engage in any trade, or in any way violate any laws of the United States or of any other government within the jurisdiction of which the Vessel may be at any time during the Charter. 8. CHARTERER shall have no rights, power, or authority to create, incur, or permit to be imposed upon the Vessel any liens or encumbrances of any nature. A fully-executed copy of this Charter Agreement shall be carried aboard the Vessel with the ship's papers at all times during the term of the Charter and shall be exhibited by CHARTERER to any person having business with the Vessel which might give rise to any lien. CHARTERER shall redeliver said Vessel free from any liens incurred as a result of the operation of the Vessel under their Charter Agreement and shall indemnify and hold harmless OWNER or its agent against any lien not incurred by OWNER or covered by insurance arising out of the possession, use, or operation of said Vessel or by any persons aboard said Vessel by invitation of CHARTERER. 9. CHARTERER shall not sub charter or assign this Charter without obtaining the consent of OWNER in writing. If at any time CHARTERER fails to remedy any default with respect to any of the provisions, covenants, or conditions of this Charter to be kept or performed by CHARTERER within 3 days after notice thereof, or such additional time as is reasonably required to cure such default, OWNER shall have the right to terminate this Charter by giving written notice of such termination to CHARTERER. 10. OWNER shall not be responsible for failure to deliver the Vessel at commencement of the Charter if such failure is caused by reasons beyond the control of OWNER or by reason of said Vessel having been lost or disabled. Should such delivery not be made by [RARRIVALDATE] this Agreement may be canceled by CHARTERER and any deposits or amounts theretofore paid on charter hire shall be returned by OWNER to CHARTERER. 11.The parties shall keep the terms and conditions of this agreement in strict confidence and therefore, shall disclose no information concerning this agreement to any 3 rd party, except as required by law. 12.CHARTERER agrees as follows: Maximum of 5 guests + themselves at any time aboard the vessel while underway, on anchor or moored at dock, Maximum of 2 guests allowed onboard vessel sleeping if overnight charter. Guests will not sit on railing or hang limbs over the side of the vessel while underway Guests will not be on swim platform on vessel's stern while underway. Guests will not enter the water at any time unless given explicit approval by captain of the vessel and engines are shut down. NO FLUSHING of feminine hygiene products in vessel's lavatory facilities. A $300 service call will result at CHARTERER's expense. No cooking onboard allowed without explicit approval / supervision of Captain or Steward/Stewardess. NO SMOKING permitted. There are NO PETS allowed on the vessel. Any CHILDREN are the responsibility of, and under the supervision of the CHARTERER at all times. Late arrival of CHARTERER does not alter end time of this charter. No illegal drugs or firearms / weapons of any kind will be brought on pier, onboard vessel or tender by CHARTERER, their guests, employees or otherwise CHARTERER affiliated group. Such action qualifies as a breech of this agreement resulting in immediate charter termination with zero refund and notification of law enforcement authorities. 13. OVERNIGHT or MULTIDAY Charters Advance Provisioning Allowance: The CHARTERER shall admit Advance Provisioning Allowance (APA) to pay for expenses incurred aboard during the charter, which shall be charged at cost to the CHARTERER. CHARTERER ha: remitted the initial amount of: $0 into the APA. The master or captain shall use these funds to pay for expenses, including but not limited to: Food and beverage Dock, harbor or pilotage fees, Water, electricity, cable, internet or communication costs Custom, immigration, departure tax or cruising fees, Laundry or additional housekeeping services or supplies requested, Crew food and beverage, Fuel and lubricant replacement for yacht, tenders or other watersports equipment. Having paid the initial APA, CHARTERER will be advised by the master, when necessary, as to the disbursement of the APA and shall, if the balance becomes low due to current expenditures, pay into cleared funds, either to master or the Broker of Record, a sum to maintain sufficient credit balance. Prior to disembarkation at the end of the charter, the master shall present written accounting at CHARTERER's request of sums disbursed during charter. Any remaining funds in the cleared funds balance shall be returned to CHARTERER. 13a. Delay of Return for OVERNIGHT or MULTIDAY Charters: In the event that Chartered vessels return is delayed due to weather conditions, CHARTERER is responsible for additional dockage, water, electric and provisioning until conditions are deemed safe for return passage by Captain and OWNER does not, nor OWNER nor CAPTAIN guarantee furnishment of alternative travel methods to CHARTERER or their guests, to or from any destination, by other vessel, aircraft or vehicle, in the event Chartered vessel is unable to complete any portion of agreed upon itinerary due to mechanical failure, weather or act of God. 13b. Additional Charter Term Addendum(s) Any additional itinerary detail addendum to be attached will be signed and agreed upon by all parties. If included, please see OVERNIGHT or MULITDAY charter addendum at end of contract. CHARTERER understands and accepts personal responsibility for any damages caused by themselves or their guests to the vessel, its systems or equipment from purposeful, negligent, or accidental behavior. The CHARTERER and OWNER or authorized agent acknowledge they have reviewed the checklist and above information together. CHARTERER authorizes OWNER to charge participant for any repair or replacement of parts for said damages, equipment, or systems aboard the vessel. CHARTERER will provide a valid credit card to provision payment in the event that such damage to vessel, its systems or equipment occurs. CHARTERER authorizes by accepting terms, OWNER to charge ANY credit card on file with remaining charter balance, gratuity, or tip and or any charter associated additional fees, upgrades, special requests, damages or repairs that incur prior to vessel departing dock, while underway or after charter returns to port. By boarding this vessel and departing port CHARTERER herby accepts vessel and agrees to enclosed charter terms and prices. If vessel is a replacement option for another previous booking, CHARTERER agrees by boarding and departing port this vessel has met their expectations as a suitable substitute and herby releases OWNER in its obligation to provide an agreed upon vessel for charter. CHARTERER acknowledges their right to not charter this vessel and receive a refund in accordance with refund policies prior to departure if vessel does not meet their exceptions. Any cancelable weather conditions as outlined in Terms of Service must exist at time of departure to qualify as valid cancelable hazardous weather conditions. By boarding and departing port on this charter vessel CHARTERER accepts vessel and waives their right to an any refunds, disputes in charges or credit card chargeback.
